Terms and Conditions

These Terms and Conditions ("Terms") govern the use of the Report Card, Computer-Based Testing (CBT), and Attendance Tracking services ("Services") provided by [Your Company Name/"We"/"Us"/"Our"] to elementary and tertiary educational institutions ("Institution"/"You"/"Your").

By signing a service agreement or accessing the Services, You agree to these Terms.



1. Scope of Services

  • Report Cards: Digital generation, storage, and distribution of student academic records.
  • CBT Platform: Provision of secure online testing environments, question banks, and automated grading.
  • Attendance Tracking: Real-time monitoring of student and staff attendance via biometric, RFID, or digital logs.
  • Age Adaptability: Interface configurations differ between elementary (parent-centric) and tertiary (student-centric) portals.



2. Institution Responsibilities

  • Account Security: You must maintain strict confidentiality of all admin, teacher, and lecturer login credentials.
  • Data Accuracy: You are solely responsible for the accuracy of uploaded student bio-data, grades, and attendance inputs.
  • Infrastructure: You must provide the necessary hardware (computers, biometric scanners) and stable internet for CBT execution.
  • Proctoring: Tertiary exam invigilation and elementary test monitoring remain the sole responsibility of the Institution.



3. Data Privacy and Security

  • Data Ownership: The Institution retains 100% ownership of all student, staff, and academic data uploaded.
  • Compliance: We comply with applicable data protection laws (e.g., NDPA, GDPR) regarding student records.
  • Parental Consent: For elementary institutions, You guarantee that you have obtained parental consent to process minors' data.
  • Data Safeguards: We employ industry-standard encryption to protect grade repositories and biometric attendance templates.



4. Service Availability and Support

  • Uptime Target: We aim for a 99.9% platform uptime, excluding scheduled midnight maintenance.
  • CBT Blackouts: Maintenance is strictly prohibited during pre-scheduled institutional examination windows.
  • Technical Support: Standard support is available via email/chat, with dedicated emergency phone lines during active CBT exams.



5. Fees and Payment

  • Billing Models: Fees are charged per term (elementary), per semester (tertiary), or via an annual per-student subscription.
  • Late Payments: Failure to settle invoices within 30 days of the due date may result in temporary portal suspension.
  • Hardware Costs: Attendance tracking hardware (scanners, cards) is billed separately from software licensing fees.



6. Intellectual Property

  • Software Ownership: We retain all rights, titles, and interests in the underlying CBT software, code, and report card templates.
  • Content License: You grant us a limited license to host Your school logo and exam content solely to deliver the Services.



7. Limitation of Liability

  • System Glitches: We are not liable for exam disruptions caused by local power failures, school internet drops, or hardware malfunctions.
  • Academic Decisions: Grading disputes, student expulsions, or promotion choices rest entirely with the Institution.
  • Maximum Liability: Our total liability for any claim cannot exceed the total amount paid by You in the preceding 6 months.



8. Termination

  • Termination for Convenience: Either party may terminate the contract by giving 28 days' written notice before a new term/semester begins.
  • Data Retrieval: Upon termination, You have 5 days to export all academic, report card, and attendance data before permanent deletion.
